Scope: Website, mobile apps, and related services (the "Service")

Governing Law: Province of Ontario, Canada, with consumer-protection carve-outs where required by provincial law, including Québec.

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Nature of the Service

Loop is a marketplace. We connect people who publish rides ("Drivers") with people who book rides ("Riders"). Optional features include Circles, Package Delivery with OTP, Carbon Leaderboard, and Loop Rewards (Points and Coins). Loop does not provide transportation, courier, logistics, or employment services and is not a common carrier, insurer, agent, or broker. Contracts form directly between Members.

2) Definitions

  • Member: Any registered user (Driver or Rider).
  • Account: A Member profile used to access the Service.
  • Trip: A ride listed by a Driver with origin, destination, date/time, seats, and constraints.
  • Booking: A Rider’s confirmed seat on a Trip via in-app payment.
  • Displayed Price: The total price shown to a Rider for a Booking.
  • Driver Payout: Amount Loop remits to the Driver after applicable Service Charge and adjustments.
  • Service Charge: An amount that Loop may retain from Trip payments to operate and support the Service; it is reflected in Displayed Prices and Driver Payouts.
  • Circles: Public or private groups for organizing Trips among communities.
  • Package Delivery: Item delivery facilitated through the Service using OTP handoff.
  • OTP: One-time passcode required at pickup and drop-off for Package Delivery.
  • Loop Points: Loyalty points earned for eligible actions; not money.
  • Loop Coins: Informational loyalty units tied to estimated CO₂ savings; not money.
  • Carbon Leaderboard: Informational display of estimated carbon savings.

3) Changes to these Terms

We may update these Terms or the Service at any time. Updates are effective when posted with a new “Last updated” date. Continued use means acceptance.

4) Eligibility and Account

  • You must be 18+ and legally capable of contracting.
  • Drivers must hold a valid, non-restricted driver’s licence for the jurisdiction of operation; Loop currently validates licence status only.
  • Verification Badge (optional): If you complete Loop’s verification flow, we may display a “Verified” tag. Verification confirms only that specified checks were completed and is not an endorsement.
  • Provide accurate information, secure your credentials, and use one Account per person.

5) Member Responsibilities and Conduct

Use the Service lawfully and respectfully. Drive sober and safely. No harassment or discrimination. No weapons, illegal items, spam, scraping, reverse engineering, off-platform payments, or attempts to bypass in-app pricing. We may monitor and take action, including removal, limitation, suspension, or termination.

6) Use of the Service; Posting Trips

Trips must be genuine and specific. No speculative listings. Pick-ups and drop-offs must be agreed in-app. Drivers are responsible for safe operation, compliance with provincial/municipal requirements, and insurance where applicable.

7) Payments, Service Charges, and Payouts

7.1 Riders

  • You pay the Displayed Price at booking. The Displayed Price already reflects any Service Charge retained by Loop and any Driver-selected in-app surcharges disclosed at checkout.
  • No cash or off-app payments. Where feasible, taxes, tolls, or government charges are disclosed at checkout.

7.2 Drivers

  • Loop may retain a Service Charge from Trip payments before Driver Payout. This is reflected in your statements; Riders are not charged separately.
  • Package Delivery surcharges for doorstep pickup, doorstep drop-off, secure handling, and waiting time may be set in-app by the Driver and are reflected in the Displayed Price and Driver Payout. Off-app fees are prohibited.

7.3 Processor, Clearing, Payout Cadence, Settlement

  • Card processing is provided by Authorize.net. Loop does not store full card numbers (PAN).
  • Clearing period and payout cadence: Payouts are batched weekly.
  • Settlement to your bank/wallet: After Loop initiates a payout, funds typically settle to your payout destination within ~24 hours, subject to bank and network availability.
  • You are responsible for accurate payout details. If a valid payout method is not set within 365 days after the Trip, unpaid amounts may be forfeited where permitted by law.
  • Loop may place holds or reverse funds for fraud, chargebacks, disputes, or policy violations, and may request identity/KYC documents.

7.4 Taxes (GST/HST/QST and local sales taxes)

  • Loop does not add HST/GST to the Displayed Price unless required by law.
  • Drivers are responsible for assessing and meeting their own registration, collection, and remittance obligations. If your activity is considered a commercial ridesharing/taxi business under applicable law, you may be required to register and collect GST/HST from the first dollar. If your activity is genuine cost-sharing carpooling, different treatment may apply. Obtain tax advice as needed.
  • Québec: QST and Québec consumer-protection rules may apply when operating in Québec.

8) Bookings, Cancellations, No-Shows, Disputes

8.1 Booking Models

  • Instant Book: Automatically approved and charged at booking.
  • Request to Book: Temporary authorization; Driver must accept within the request window or it expires at no cost to the Rider.

8.2 Rider Cancellations

  • More than 24 hours before scheduled departure: full refund of Displayed Price minus any non-recoverable third-party costs shown at checkout.
  • 24 hours or less: 50% of the Trip price is payable to the Driver; the remainder is refunded.
  • After departure or late arrival: non-refundable.

Loop may make equitable exceptions for documented fraud, duplicate bookings, or clear errors.

8.3 Driver Cancellations

  • You may cancel Trips with no approved Bookings at any time.
  • If approved Bookings exist, cancel only for valid reasons and notify promptly. Repeated or late cancellations may trigger account review and reduced visibility.
  • If a Driver cancels an approved Booking, Riders receive a full refund of the Trip price.

8.4 No-Shows

  • Rider no-show: Driver may receive up to 100% of the Trip price.
  • Driver no-show: Rider receives a full refund; the Driver may face penalties or suspension.

8.5 Dispute Window and Process

Members have 4 days after scheduled departure to dispute a Booking, Cancellation, No-Show, or Payment using in-app Support Forms. Loop will review and respond within a reasonable time. Absent a timely dispute, refunds and payouts proceed.

9) Package Delivery (OTP) — Rules and Restrictions

9.1 Overview

Loop facilitates deliveries between a Sender and a Recipient. Loop is not a courier or bailee. Drivers may refuse any package that appears unsafe, illegal, damaged, or non-compliant.

9.2 Allowed Items; Limits

Items must fit safely in a passenger vehicle and be sealed and ready for curbside pickup. Size/weight and declared value are discussed and agreed between Driver and Rider in-app for each delivery. Drivers may refuse excessive or unsafe items.

9.3 Prohibited or Restricted Items

No illegal items; firearms/weaponry/parts; alcohol; cannabis; recreational drugs or paraphernalia; tobacco/nicotine; highly perishable foods; pharmaceuticals, OTC medications, vitamins, or supplements; money, gift cards, lottery tickets, or negotiable instruments; hazardous/dangerous goods as defined by law (including items classed under the Transportation of Dangerous Goods Regulations and non-mailable matter). Drivers must cancel if contents are prohibited.

9.4 Surcharges

Drivers may add in-app delivery surcharges for doorstep pickup, doorstep drop-off, secure handling, and waiting time. These must be disclosed in-app before confirmation. No off-app payments.

9.5 Mandatory OTP and Chain-of-Custody

  • Pickup OTP: Sender provides the pickup OTP to the Driver.
  • Drop-off OTP: Recipient provides the drop-off OTP to the Driver.
  • Without both valid OTPs, delivery cannot be marked complete.

9.6 Proof of Delivery (POD)

Drivers must submit POD within 24 hours: pickup OTP, drop-off OTP, and at least one of: time-stamped photo, recipient name/signature, or GPS drop-off confirmation. Missing or invalid POD may delay or reverse payouts and may trigger account review.

9.7 Risk and Liability

Risk of loss transfers upon OTP-verified handoff. Loop does not verify contents, value, or condition. Loop’s total liability for Package Delivery is limited to the lesser of C$100 or the amount paid for that delivery, except where prohibited by law.

10) Circles

Circles enable communities to organize Trips. Circle admins may set admission rules and moderate content. Loop may suspend a Circle, remove content, or revoke access for abuse, impersonation, solicitation, off-app payments, or safety concerns.

11) Carbon Leaderboard

Leaderboard metrics are estimates and for information only. They are not certifications or guarantees. Methods may change.

12) Loop Rewards: Points and Coins

12.1 Loop Points

  • Earn 500 Loop Points for each successful referral of a new user who creates an Account using your referral method and passes anti-fraud checks.
  • Points never expire, have no cash value, and are non-transferable.
  • Abuse (self-referrals, duplicate or automated signups) forfeits Points and may lead to account action. Loop may modify or discontinue the program with in-app notice.

12.2 Loop Coins

  • Earn 1 Loop Coin per 1 kg of estimated CO₂ emissions avoided by taking or sharing rides through Loop.
  • Coins have no cash value, are non-transferable, and are not currency, securities, or crypto assets.
  • Estimation formulas may change; awards may be adjusted for errors or misuse.

13) Safety, Reporting, Enforcement

Drive within the law. Wear seatbelts. Follow posted rules. Report misconduct, safety incidents, collisions, or illegal activity via in-app tools or to authorities. Loop may investigate and take measures it deems appropriate.

14) Insurance

Drivers must maintain valid personal or commercial auto insurance and confirm coverage while using the app. Insurance requirements and coverage triggers may change based on status (available, en-route, with Rider). Loop may request proof and suspend Accounts that fail to provide it.

15) Privacy and Communications

Your use is also governed by our Privacy Policy. We follow fair-information principles for collection, use, disclosure, access, and safeguards. Marketing communications comply with CASL: consent where required, sender identification, and unsubscribe in each commercial electronic message. Manage consents in settings.

16) Intellectual Property and Content

The Service, trademarks, and content are owned by Loop or its licensors. Members grant Loop a non-exclusive, worldwide, royalty-free licence to host and display content they submit for operating the Service. No scraping, framing, or reverse engineering. Ordinary linking is permitted.

17) Suspension and Termination

We may suspend or terminate Accounts or remove content at any time for violations, unsafe conduct, fraud, or legal risk. You may close your Account in settings. Provisions that by nature should survive do survive.

18) Dispute Resolution and Complaints

Use the in-app Support Forms with details and evidence. We will review and respond within a reasonable time. You retain all rights available under law, including access to court or small-claims court where applicable. We do not require foreign arbitration, and nothing here limits non-waivable consumer rights.

19) Consumer Disclosures

We aim to display total prices, material terms, cancellation rules, and key fees before purchase for remote agreements and provide a copy on request. Québec consumers benefit from the protections of the Consumer Protection Act; any clause that conflicts with mandatory CPA rights does not apply in Québec.

20) Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee availability, acceptance, punctuality, accuracy, or outcomes. Estimates (e.g., carbon metrics) are informational only.

21) Limitation of Liability

To the extent permitted by law, Loop is not liable for indirect, special, punitive, or consequential damages, lost profits, data loss, or personal injury arising from use of the Service. Loop’s aggregate liability is limited to the greater of C$100 or the amounts you paid to Loop for the Service in the 12 months before the claim, except where prohibited by law.

22) Indemnity

You will defend and indemnify Loop and its affiliates from claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, violation of law, or injury/damage you cause.

23) Force Majeure

We are not responsible for delays or failures due to events beyond our control, including outages, cyber incidents, natural events, labour disputes, or regulatory actions.

24) Assignment

You may not assign these Terms without our consent. We may assign to an affiliate, acquirer, or successor.

25) Severability; Waiver

If any term is unenforceable, the rest remains in effect. No waiver is effective unless in writing.

26) Updates and Notices

We may provide notices in-app, by email, or on our site. Continued use after updates constitutes acceptance.
